Terms of Service

These Terms of Service ("Terms") are an agreement between you and [Legal entity name] ("Encore", "we", "us"). They cover your use of the Encore website at https://encore-beryl.vercel.app and its related interfaces (the "Interface"). By using the Interface you agree to these Terms. If you don't agree, don't use it.

These documents are part of the Terms: the Acceptable Use Policy, the Risk Disclosure, Fees, Artist Verification and Claims and Wallets and Transactions. The Privacy Policy explains how we handle personal data.

1. What Encore is

Encore is an interface to smart contracts on the Solana blockchain. It lets anyone launch a fan token dedicated to a music artist on Spotify or SoundCloud, trade it on a bonding curve run by Meteora's Dynamic Bonding Curve program, and send the artist's share of trading fees to an on-chain vault. Only the artist can claim from that vault, once they have verified that the profile is theirs.

Encore is non-custodial. We never hold your funds or your private keys. Every launch, trade, verification and claim is a transaction you approve in your own wallet. Smart contracts on a public blockchain carry it out. Once confirmed, transactions can't be reversed by you, by us or by anyone else.

2. Who can use Encore

To use the Interface, you must:

• be at least 18 years old, or the age of majority where you live if that is higher;
• be able to form a binding contract;
• not be a person or entity on a sanctions list, or located, organized or ordinarily resident in a country or region subject to comprehensive sanctions (for example Cuba, Iran, North Korea, Syria, and the Crimea, Donetsk and Luhansk regions of Ukraine);
• not use a VPN or other tools to get around these restrictions; and
• comply with the laws that apply to you, including tax laws.

Some features may not be available where you live. You are responsible for checking whether you may lawfully use Encore.

3. Fan tokens are not official and give you no rights

Users, not artists, launch the tokens on Encore. We use an artist's public name and profile image to show which artist a token is dedicated to. That doesn't mean the artist, their label or their team made, approved or endorses the token.

A token is marked Verified only when the artist has proven they control the profile and can claim the fees held for them. Verified does not mean the artist endorses the token, its price or anyone trading it.

Fan tokens are collectibles for fans. Holding one gives you no ownership, equity, revenue, royalties, voting rights, access, merchandise, or any claim against the artist or Encore. Token holders don't receive any of the trading fees.

4. Launching a token

When you launch a token you choose its name, ticker and image, and you are responsible for them. They must not suggest the token is official, and must not infringe anyone else's rights or break the Acceptable Use Policy. A token's on-chain details are permanent and can't be edited after launch.

We may hide any token from the Interface, for example after a takedown request. We can't delete tokens from the blockchain or stop them trading elsewhere.

5. Fees

Trading fees, and how they are split between the artist, Encore and Meteora, are described in Fees. A token's fee settings are fixed on-chain when it launches. You also pay Solana network fees for every transaction you send.

6. Artist verification and claims

Artists verify and claim as described in Artist Verification and Claims. Verification depends on evidence we check, and we decide whether to approve it. We may refuse a verification we believe is fraudulent. Where we are satisfied that the rightful artist or their authorized team controls a profile, we may verify it to a different wallet. If an artist doesn't verify within the claim window, the vault's balance may be swept to Encore's treasury as described in Fees.

7. Your responsibilities

• Keep your wallet, keys and devices secure. Anyone with your keys controls your funds.
• Check every transaction in your wallet before approving it.
• Work out and pay any taxes on your activity.
• Follow the Acceptable Use Policy.

8. No advice

Nothing on Encore is investment, financial, legal or tax advice, or a recommendation to buy or sell anything. Prices, market caps, US dollar values, holder counts and histories on the Interface come from the blockchain and third-party sources. They may be delayed, incomplete or wrong. US dollar values use the market price of SOL and are estimates.

9. Third-party services

Encore relies on services we don't control, including the Solana network, Meteora's smart contracts, wallet software, Privy (wallet login), Spotify, SoundCloud and X (artist verification), Jupiter (trading and price data), IPFS storage providers and RPC providers. Their terms and policies apply when you use them, and we aren't responsible for them. Encore is not affiliated with Spotify, SoundCloud, X, Meteora, Jupiter or Solana.

10. Test networks

When Encore runs on a test network such as Solana devnet, the tokens and SOL involved have no value, and test deployments may be reset at any time.

11. Changes, availability and admin controls

We may change, suspend or discontinue any part of the Interface at any time. Encore's on-chain program has an administrator who can pause new launches; change the verification key, treasury and claim window; and upgrade the program. Claims and moving fees into artist vaults can't be paused.

12. Intellectual property

The Interface, its design and the Encore name and logo belong to us or our licensors. Artist names, images and trademarks belong to their owners. If you upload an image, you confirm you have the right to use it, and you give us a worldwide, royalty-free license to store, display and distribute it as part of the token and the Interface. Uploaded images are stored on public storage (IPFS) and may stay available after we stop showing them.

13. Disclaimers

The Interface and the smart contracts are provided "as is" and "as available", without warranties of any kind, express or implied, including fitness for a particular purpose, non-infringement and uninterrupted or error-free operation.Encore's smart contract has not yet been independently audited. Smart contracts can contain bugs that lead to the loss of funds.

14. Limitation of liability

To the maximum extent permitted by law, Encore and its team are not liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, tokens, funds or data. This includes losses arising from token price movements, smart contract failures, blockchain or network problems, third-party services, or unauthorized access to your wallet. Our total liability for any claim is limited to the greater of US$100 and the fees you paid to Encore in the 12 months before the claim. Some jurisdictions don't allow these limits, so they may not all apply to you.

15. Indemnity

You agree to indemnify and hold harmless Encore and its team from claims, losses and costs, including reasonable legal fees, arising from your use of Encore, your content (such as token names and images), or your breach of these Terms or the law.

16. Suspension

We may restrict or end your access to the Interface at any time, including if we believe you have broken these Terms. This doesn't affect tokens or funds you hold on the blockchain.

17. Governing law and disputes

These Terms are governed by the laws of [country or state]. Disputes will be resolved in the courts of [country or state], unless the law where you live gives you the right to bring a claim elsewhere.

18. Changes to these Terms

We may update these Terms. We'll change the "Last updated" date and, for significant changes, put a notice on the Interface. Continuing to use Encore after a change means you accept the new Terms.
